RDA checks out Savannah Hotels from Sinclairs and others, for Desai Brothers

RDA Legal advised pickles and jams manufacturer Desai Brothers in buying out Savannah Hotels from Sinclairs Hotels, which operates the Savannah-Sinclairs Hotel in Bangalore, and from Savannah’s other shareholders.

RDA managing partner Rohit Das and associates Ushasi Das and Robin Quadros advised on the transaction, while partner Avik Biswas led the due diligence with senior associate Naren BS and associate Soumik Das.

Sinclairs Hotels, which Das advised in its November 2011 acquisition of Savannah, was advised in-house.

I am more concerned for RDA's clients if they are manipulating news on Legally India as well. Legally India should explain such sudden twist in the story after the earlier comment.

There was no 'twist' at all, not sure what people are claiming. Last line reads:

The very first version, which was up for around 15 minutes had added an "it is understood" somewhere, which we took out after the first edit.

The article never ever stated that he acted against the Desai Brothers, nor do I have any idea where someone's reading comprehension would have failed sufficiently to have remembered this...

I guess your first question answers your second question. Answer to the first question should be given by RDA themselves. All they have left is Husband-wife with two associates, one from NUJS and another from NLIU in Mumbai.

Bangalore office have some other two (unless anyone new joined at either offices). I guess the names mentioned above is the entire RDA team!!

Even I had heard that the Firm was in bad shape post the raw deal he got in the PXV split...salaries not paid etc etc. A friend works in the Bangalore office who was abt to leave and he's very happy now. He says everything is almost back to shape & they are getting great work. Good to see them back in the path of recovery with a bang. Indian market has enough space for these kind of firms to grow and be very successful.

Loosing 3-4 partners in less than a year - 2 of whom had left as associates from Pvx to join him? So many Sebi guys who joined him leaving nice jobs have left! So many associates also gone? Many of whom are openly saying how their careers have been gravely affected. Not to mention not having gotten paid. One even told me that associates were set monthly targets in order to get their salaries! I dont know about vision and wisdom but certainly takes courage.

Sadly, the opposite is the case. Went really well for a short while after the split. Started two new offices, hired lot of new people, paid really good salaries and liberally promoted partners. There was a general sense of optimism and enthusiasm throughout the Firm. Then unfortunately the work dried up, lawyers were given absurd revenue targets and a huge part of the salary was linked to these absurd targets. That's when people started to leave. I dont know which side of things are in shape when you have more number of offices than lawyers.

From what I have heard, that is a thing of the past. Although, the firm did go through some troubled times,it is well on its way back to being where it was before all the dead wood was shed. And "dead wood" always must be shed ....

The comments always seem to do more harm than good as they are usually anonymous sources of baseless gossip and negativity. Being a part of the firm, I can easily say that it's finally begun doing well and most of the negative comments are totally untrue. A lot of people did leave but they left because they weren't contributing anything (except 2) and no firm today can afford that. Although I wasn't a part of this deal, but I've seen first hand the kind of good work that went into it. Well done to all the people who were a part of it.

So are you dead sure that everyone (past/ present) have been paid? Because I know the contrary. So how has it still been "doing well"?

According to your comment most of them left (voluntarily) because they were not contributing? Dedicated bunch of lawyers RDA had! Or did they leave because they were not being paid and therefore did not contribute to work?

Why were people so "close" to Rohit looking out for jobs elsewhere? I believe except for Rohit everyone applied for jobs elsewhere. I was a witness to it in my own firm.

One transaction, of unknown value, with unknown clients, does not dramatically transform the fortunes of a Firm... unfortunately, since LI has chosen not to outline the issues facing RDA, it acts as an advertisement that everything is going hunky dory, and lure a few more associates to their doom...

People (close or not) apply for jobs for many reasons and feel no need to discuss those with other people, lease of all on a public forum, where the relevant discussion should have been in relation to the transaction being reported.

And who said - anyone left voluntarily? Dead wood must be shed and it has been.

If we should not believe an anonymous group, how can we trust the limited few in the firm? They will obviously not say anything bad. We need to hear from those who left as to why the situation is so bad. If someone may pour some light.

Seems that Rohit Das has got keen interest in advising different clients to buy Savannah Hotels. Firstly advised Sinclairs in 2011 and then advised Desai Brothers against Sinclairs in 2013. Heard of "waiver of conflict of interest"? Or for that matter, confidentiality requirements of clients? Numbers cannot be revealed on specific instructions of Clients.

Since you seem to be a better judge of what ought to be reported than LI itself, surely you will be a better judge of estimating the cost of buying out this hotel.

I'm not getting into who deserves what but you really need to take a clear stance and start censoring ridiculous comments. OMG!!!! So much of discussion on a regular high-value M&A deal? NUJS alumni do themselves proud again. These guys keep dissing each other even after college and ensure other colleges catch up laughing at them. Quite sure I have never seen such polarisation for any NLS/NALSAR alumni work. Not that these things matter to clients.

I believe only 1 associate was fired, but every other Partner and Associate resigned on their own volition.

Doesn't it smell fishy, and seem like dal me kaala, when Rohit just promotes those as Partners and they resign within 1-2 months. Why would Rohit promote them as Partners and immediately fire them? Seems like a contradiction there at RDA and with few comments which clearly seems to be from within RDA,

Those fired or ones who leave on their own will are not paid. Is it a policy, whereby you should not pay anyone who leaves your firm, due to the reason of non-payment since December, 2012?

RDA keeps associates and does not pay. Associates leave RDA and they are not paid. Rohit was never like this. I do not understand what prompted him to such an atrocious decision-making and he is spoiling the good image that he has. Surely not his mind at work here.

No law firm fires anyone without payment and it seems no one is paid at RDA. Surely, the whole daal at RDA is black.

You should really do something at a policy level. I'm not in the Firm anymore and I have my own reasons for that. But even I can tell you that some of the negative stuff is just blatant lies. This is a very good deal to have been done by RDA but it's getting mounted by unacceptable rubbish.

While I agree that comments of this nature are entertaining, I think most readers would appreciate your intervention to ensure that comments that are completely unrelated to an article/post on LI are not allowed to be posted.

As for the grapevine - it will continue to entertain the bored. Let LI not be a conduit for mud slinging or spreading rumours, irrespective of how entertaining they may be or which quarter they may come from.

Kian,

I guess that the remaining few at RDA are trying to stop others from commenting on this issue because they cannot defend the same. This is the reason why they are pressurising you into "censoring comments". I guess if LI is not covering the issue on (not "late", but "NO") payments in RDA, they may at least provide moral support to those who have been affected severely that other don't follow suit and fall into the trap of RDA. Its not that there were "some issues" and at "some point". The Partners and Associates who have left have still not been paid and current Associates have also not been paid. This is existing since November-December 2012, and no one has got their complete payments till date. Further, they have received paltry sum for bare existence. No one had any idea on accounts and where the funds were being "diverted".

As someone mentioned in some comment, all this is really fishy. Why promote lazy ones to partnerships or why fire them after promoting them to partnerships? It is awkward as to RDA finding faults with every employee. Every firm has a bunch of few lazy or incompetent people, but never fire them to such an extent. How did RDA manage to employ every single person whos incompetent as they claim? Problem is with RDA itself and they are truly spoiling careers of few amazing Partners and Associates that have quit by making random generalised comments. I know some of them who have quit are gems and left the best possible jobs for a future at RDA. I think that is as big a sacrifice as anyone can give RDA. You leave jobs worth lakhs to join this place, which in turn pays you nothing.

I had a chat with a really close friend some time back who appraised me as to this situation and was concerned about his/her career being totally destroyed. I believe LI should provide support to those who have still not got paid for whatever vague reason as the firm may provide. By ignoring or not posting such comments you will only keep a firm happy which is running a tyranny making everyone work without absolutely paying them for more than 8 months!! They will yet continue to expect you to work for free!! I do not understand this logic and sympathise with the employees.

This deal report should not be misleading to the younger lawyers who will graduate,and assume it to be a good firm, or to lure more partners because I have heard the pains of few. Let them make an informed choice about their future.

Kian you are yet doing a good job, and obviously I guess by now everyone know the true state of the firm, that you may cover a story on the same, else the limited few in the firm will continue misleading general public. Your job is not too easy to keep a balance and satisfy everyone. But there is a BIG space for truth in journalism and I believe it is your duty to bring the reality out rather than knuckle under firms. It is a close knit firm at present with family and best friends except for one from GNLU and one from NLIU. So they may continue protesting against these comments.

I concur with "Voluntary" at Point 15.2. I do not understand why would a firm not pay salaries for months on end (8-9 months) make associates and partners slog and give targets for salaries!! The biggest joke of all, you do not pay someone who has left you, or someone who has been allegedly fired.

I can't believe this from Rohit as I know him personally. I really do not know who is taking such obnoxious calls in the firm. If it is in fact Rohit, he is not really doing himself a great favour after having a really good reputation as a good human being. I hope he does pay all his employees (past or present) and I hope Li support the others. I support you'll too. For those who lost out on pay and a huge chunk of real life due to such problems just know that whats right is right, just fight for what belongs to you. Look, we're all probably hearing things from the same set of people - and for me, it sometimes becomes difficult to separate fact and fiction. On both sides of the line (PXV and RDA). To be honest, I can't say for sure that I know what really happened in there.

I would however say that some of the comments here seem to make no sense and are just pointlessly vitriolic. Knowing the cast of characters involved, I wouldn't put it past some of them to repeatedly comment under different names. Not sure of who you are.

On the issue of 'informed decision', I am a little less sympathetic to your pleas for publicity. Everyone who wants to join a firm checks with people - and if its that big an issue, you find out. Remember, most of the people named are ex-Noojies. Very easy to find out.

Also, everyone seems to have a field day painting Rohit as the villain who effectively destroyed the lives of several budding legal luminaries and left their careers severely hamstrung after somehow brainwashing them to leave otherwise good jobs where they were doing very well. One: you need two hands to clap - they must have wanted to come to Rohit as well. Two: dude, none of the names I've heard till now can qualify as doyens of the legal industry. Three: Let's just give the RDA guys credit for a deal well done and leave it be at that. This is not the time to air the dirty laundry. Or settle personal scores.

Am a new joineein the Firm & would like to comment on a few things in my small experience in the past 3-4 months. The partner who recruited me was frank to clarify that the firm had gone through a tough time & was turning a corner. 2 other ppl joined with me and I can state that we hv been paid on time always...so all this is surpsising. I don't know obviously what happened in the past but bcos We're talking abt 'informed choices' and none of us regret the decision to join. Also, 8-10 months without pay? I would leave if it's 2 months. The question is that are these claims exaggerated...anyways I hope the firm continues to grow despite a large no having negative things to say. On the positive side there still seem to be a greater no having faith in the ppl running the show and seeing results for themselves.

Rohit is an entrepreneur and a lawyer. How many commenting on this thread have started a law firm (successfully or not)? The sense of entitlement that comes with riding on other people's coat tags / gravy trains seems to have created an exceedingly obnoxious and judgemental bunch! If rohit has failed or succeeded, he has. Most of the rest of us havent really ventured into that game at all. Reading this thread should amuse any true corporate lawyer (or entrepreneur). :) Rohit included, as long as he doesnt take comments on LI too seriously, and our (corporate lawyers) clients have the maturity not to bother.

A law firm has advised one client in buying a property that it had earlier advised another client to buy. If this is big news then its big news. Where does this whole baggage of whether the law firm pays its associates, how it treats its partners and the calibre of its prime mover fit in? It would be far better if the nature of the transaction was analysed and what prompted the first client to sell the property within 2 years from acquiring it.

Is it true that RDA has been offered to merge with AMSS. I heard RDA was offered few years back and is now contemplating the same given their financial woes and extremely high attrition rate. Have all the Associates been paid finally or...? Well after seeing this if they had some self-respect they should really. Might affect their merger plans otherwise.
