Amarchand ‘modified lockstep’ partner joins Dua Associates to rebuild firm [Exclusive]

Amarchand Mangaldas equity corporate partner Himanshu Narayan has resigned the firm to join Dua Associates in Delhi.

Narayan (pictured) would leave Amarchand’s Delhi office on 15 October, confirmed the Delhi region’s managing partner Shardul Shroff.

“Himanshu wants to leave and rejoin Dua Associates,” explained Shroff, adding: “I am told that Swaran, his dear wife, is now a partner there.”

“He sees a role in rebuilding that firm and an M&A practice there,” said Shroff. “We wish him well.”

Narayan declined to comment when contacted.

His practice focuses on corporate, M&A and private equity work. He had joined in Amarchand in March 2006 from Dua Associates, having graduated from NLSIU Bangalore in 1995.

In August 2008 Narayan was one of five partners elevated onto Amarchand’s new partial lockstep system, alongside corporate partner Ashwath Rau, banking partners Gunjan Shah and Leena Chacko and projects partner Jatin Aneja.

Shroff told Legally India that the firm would not have to re-examine its equity system following Narayan’s departure: “A single equity partner leaving does not cause the modified lockstep to be changed or revaluated.

Amarchand’s Delhi offices is celebrating its 30th year of operations this year.

Dua Associates partner and spokesperson Balinder Singh said today that the firm would not comment on “speculation” while the firm’s managing partner Ranji Dua did not respond to emails or calls seeking comment.

At the beginning of this year Dua Associates lost 50 lawyers including nine partners, who started up Tatva Legal. At the same time Dua Associates also opened a Singapore office, which according to the firm’s website now has an office on Robinson Road in the ASO Building.

Six months later Tatva hired Dua Associates’ Mumbai partner Mahernosh Humranwala, leaving Dua with one partner in the office.

Dua Associates told Legally India in June that it had hired around 20 professionals and three lateral partners since January, although the firm declined to confirm the names of the new partners.

Though I dint work with Himanshu while we were in AM, I have heard good things about him as a lawyer and as a person. Wish him all the best.

sick of hearing about AMSS and luthra all the time. tell us about the interesting cases that foreign law firms do in the UK and US and their famous partners (who are often famous politicans and diplomats). i would rather hear about that then our boring firms.

All the very best to Himanshu! He is truly a big asset to any firm and a very fine, and extremely professional, lawyer.

His departure is clearly a big loss for the AM Delhi office and reveals a worrying continued inability to retain lateral partners of independent standing in the market. Save for the one well known (and well respected) Delhi based equity partner, AM Delhi has not managed to attract and keep lateral partners who have a following in the market. Something needs fixing for sure!

#5. who are you talking about? who is this well known and well respected equity partner who moved laterally? I cant think of any equity partner in Delhi who moved laterally....

Amarchand lost its biggest hitter in corporate practice in 2006. Since then Himanshu had been the only partner in corporate (after Kalpataru moved on) who was respected. Who else moved in laterally into corporate and has equity?

I think #5 was referring to a litigation/ arbitration partner and not a corporate partner.

Individuals can always move depending on the deal he is getting. But if Himanshu is managing to take his team along, that will be a sad reflection on AMSS' retention capability.

Wonder why AM isn't able to hire any corporate partner in Delhi for so long ? Their expectations are unrealistic ... their existing lot is deserting for lack of incentives [...] and they expect the newcomers to take care of the fanciful lot of lawschool freshers hired by them on obscene packages ... God help them ...

The inability to retain quality lawyers like Himanshu highlights the systemic problem at Amarchand and other family run firms [...]. The [...] of promoter partners is what drives people out. Unless Amarchand mends its ways and quick (is it possible?), Amarchand will become another Dadachandji - a firm which was brilliant but then all the lawyers deserted it.

Good news for sure..though the corporate practice was always intact at Dua - any person going back to an old firm implies a positive thing - Dua is doing something right.

loosing key associates n key partners depicts a sad state of affairs for any organization. i dont think 'his wife is a partner..' be d reason for someone like Himanshu to quit AMSS.. may be Mr. Shroff has to look at ground realities.. infact for that matter most of the managing partners in top delhi firms have to realize that professionals should be treated professionally [...]

I hope Himanshu is able to bring about some much needed changes in Duas. Duas also needs major overhauling and then perhaps it can reclaim a part of the status it has lost in the market. Good luck, Himanshu.

Himanshu is a brilliant lawyer and his resignation is truly a great loss for Amarchand.

His departure begs the question - Why is he leaving? Is there something that Amarchand could have done to retain him or was his departure imminent once his wife left almost a year ago and then imminent again when she joined Dua as a partner 2 months ago? What also deserves some consideration is, why did he leave Dua the last time? Something seems to suggest that he may have left Dua since his wife was one of his direct reports and perhaps Ranji Dua, who is a stickler for professionalism, wanted him to change that ? Did his wife leave Amarchand also because she was his direct report??? Also, does anyone know if Himanshu's best friend, Piyush Joshi, is also joining Dua, which he had set out to do when he resigned from Amarchand ?

# 23, very true. The situation for (non-family) professionals in all Indian law firms is very frustrating and not improving at all. At the end of the day, whatever designation you may get in a firm, you are a glorified retainer or employee, if you aren't a family member or co-promoter. I don't see this changing in our lifetime at least.

@24 : Very true. The reason for high attrition rates in law firms is that (i)the work is largely very boring and monotonous; (ii) the work is largely not intellectually challenging / stimulating; (iii) excessive delegation of work by seniors to juniors leading to burnout; (iv) lack of professionalism at senior levels - they seem to treat their juniors like servants rather than teammates and (v)Impossible to rise beyond a certain point because of vested family interests - esp. true at senior levels. Law firms in India have the highest attrition rates amongst all professions after BPOs (and thats not even worth a comparison).

Himanshu is a good lawyer and was Mr. Dua's protege, so to say! if I remember correctly, there was an effort on his part to get back to Dua (and this was much before the Tatva breakaway), which however could not materialise at that point in time!
His coming back into Dua fold is certainly a good news for Dua. Dua definitely needed someone of Himanshu's mettle to handle their M & A practice. Although, Munish Sharma has rejoined Dua as a partner about 10 months back which in itself was a good sign.
End of the day, one has to recognise the fact that although Amarchand could be one of the top law firms in India with best packages, it is still a long way in establishing itself as a humane organisation vis-a-vis work-life balance. Dua for that matter is more chilled out and has a great working atmosphere!

Both Munish Sharma who is very senior and known in the legal profession and Himanshu Narayan make a very strong and solid corporate practise team.
