Designation: Corporate Commercial Associate

Job location: Mumbai, Bangalore and New Delhi

Candidates’ required post-qualification experience (PQE) level in years: Minimum 3-5 Years PQE

Practice area specialisation required: Corporate-Commercial

Job description:

The work is fast moving, technical, bespoke, real world and practical. The Corporate Commercial practice advises companies on various aspects of corporate matters (which include advise on contractual, labour, corporate and commercial laws) and also provides end-to-end assistance (both in the listed and unlisted space), private equity houses, venture capital funds, from both buy and sell side, in complex local and cross-border transactions across various sectors. The role also requires getting involved in new business development and marketing initiatives. The candidate will work on a broad array of assignments which will include non-transactional and well as transactional work. On the trasactional side the candidate shall work on mergers & acquisitions (in-bound and out-bound), private equity, venture capital, joint ventures, corporate restructurings. All roles will report to the senior management team of HSA Advocates.

Candidate requirements:

  • Candidates should have a bachelor’s or a master’s degree in law.

  • Minimum 3 – 5 years of experience in a law firm.

  • Strong knowledge and in-depth understanding of contractual, corporate and commercial laws.

  • Excellent drafting skills along with in-depth grasp on documentation.

  • They have a commercial perspective and can provide solution oriented pragmatic legal advice to clients.

  • Good and effective communication skills.
  • They are service oriented and are driven to deliver to clients with the ability to work under pressure.

  • Not afraid of taking up challenging tasks and are resilient to achieve them

  • They have an experience with leading teams and mentoring and coaching juniors

  • Determined to personal, team and firm development and success.

  • Candidates should have experience in the following areas:

    • Advising on a variety of M&A, PE/VC transactions, across various disciplines and sectors
    • Managing transactions from engagement to completion
    • Developing and demonstrating resilience and autonomy whilst maintaining the highest levels of client care and standards
    • Drafting and negotiating sale and purchase agreements, shareholders' agreements, other commercial agreements, demonstrating a strong familiarity and an ability to draft and work with bespoke documents and structures
    • Substantial experience working on cross-border transactions
    • Developing familiarity with likely issues and challenges and demonstrating an ability to manage all aspects of the transaction to "get the deal done"
