Luthra & Luthra has advised Indian multiplex owner PVR Cinemas on its collaboration with Canadian entertainment technology company IMAX Corporation to install and maintain state-of-the-art IMAX theatre systems, which was advised by Agarwal Jetley & Company.

The agreement between the two cinema exhibitionists would take effect in setting up of theatres with logistical support from IMAX in four Indian cities.

Luthra & Luthra partner Samir Dudhoria led the transaction with managing associate Aparna Mittal and associate Bikramaditya Bose.

Agarwal Jetley & Company partner Mandira Mitra advised IMAX on aspects of regulatory compliances.

Dudhoria explained: “The agreement is essentially a sale of equipment, the acoustics and digital system that gives a different cinematic experience along with the maintenance and operational aspects.

“It involves supply of latest technology; it is the 3D technology which is the latest, most sophisticated technology. It’s a whole gamut of supply of equipment with maintenance on a long term arrangement.”

He added: “They will provide us with information as to how a theatre should look like, how many seats it should have and the dimensions of the theatre. Once PVR builds theatres as per their specifications, I think then they will supply their equipment and install it too.”

IMAX does not have a presence in India in the form of a registered entity and its previous arrangements with other theatre groups were limited to the supply of older technology according to Dudhoria.

Luthra & Luthra partners SR Patnaik and Sanjeev Sachdeva assisted by Sumit Mangal and Sameer Jain advised PVR on the direct and indirect tax aspects.

its interesting to see that the same team at Luthra was against PVR (and for DLF) a year ago- in the DT Cinema deal (also reported by LI), and now represented PVR in this current deal. Not many times does it happen that the counterparty gets so impressed by the otherside's lawyers, that they actually go ahead and hire them in future. !
