“Oncology chain HealthCare Global Enterprises Ltd (HCG) said it will merge its clinical lab services unit, Triesta Sciences, with Strand Life Sciences Pvt Ltd in an all-stock deal,” reported VCCircle.
Cyril Amarchand Mangaldas advised Healthcare Global Enterprises Limited led by partners Rashmi Pradeep, Maheshwari Sundaresh, Avinash Umapathy and Arun Prabhu. The firm acted as legal counsel to Healthcare Global Enterprises in relation to: (i) subscription by Healthquad Fund I and HCG to unlisted, secured, redeemable, optionally-convertible debentures of Strand Life Sciences Private Limited (Strand) for an aggregate amount of INR 8 crores; and (ii) business combination of its unit, Triesta Sciences, with Strand and issue of equity shares and preference shares of Strand to HCG, constituting 48.5% of the share capital of Strand on a fully diluted basis.
