AZB-TTA-Dhall, CAM, NDA act on competitive $765m Birla buy of Lafarge units under regulator gun

Birla Corporation bought the Eastern cement plants of Lafarge for Rs 5,000 crore from Lafarge India following the Competition Commission of India (CCI) order for the French company to divest itself of the units after its Rs $44bn merger with Holcim, reported the Economic Times and others.

Nishith Desai Associates’ Nishchal Joshipura and Karan Kalra with Abhinav Harlalka and Tanya Pahwa advised Birla.

LafargeHolcim became a single entity from July via its global merger, with the Lafarge side having been advised by AZB & Partners Mumbai managing partner Zia Modi, partner Alka Nalavadi and senior associate Qais Jamal on the corporate aspects of the transaction.

Lafarge also drafted in Vinod Dhall, managing associate Ram Kumar and associate Avinash Amarnath of Vinod Dhall-TTA (Vinod Dhall in collaboration with Talwar Thakore & Associates).

Holcim was advised by Cyril Amarchand Mangaldas corporate partner Ashwath Rau and competition partner Nisha Uberoi.

SBI Capital Markets and KRISCORE Financial Advisors were investment advisors to Birla Corporation, while Citi and Arpwood assisted Holcim and Lafarge on the financial side.

Birla won the deal against several private equity companies and other global majors according to reports, and will see it acquire two cement units in Jharkhand and Chhattisgarh remains subject to CCI and other regulatory approvals.

I only see AZB and AMSS on the deals. Are other firms even working on deals?

Now AZB & CAM can't be held responsible if clients like to reach out to them for legal services. Between them they land up doing all the notable deals India has seen.

Poor Kian, if he reports all the deals, these 2 firms would feature every alternate day since that's what their pace is like.

Other firms need to pull up their socks as opposed to ranting here of not doing enough deals etc

Okay, we will! Thanks for opening our eyes and making us see that we too have to do some deals every now and then instead of making poor AZB and CAM bear the burden of doing all the legal work in the market!

This deal is being done by Birla Corporation, which is controlled by R.S. Lodha's heirs, and not by Aditya Birla Group. The ABG is, in fact, quite likely to oppose this deal as it would make Birla Corp a huge player in cement.

Didn't you previously report that SAM advised on the CCI clearance for this deal with AZB? When did CAM and TTA come on board, and where did SAM go??

AZB competition got replaced by TTA and SAM competition got replaced by CAM competition. Kian, that would have been the most interesting coverage on this deal;P

When a deal is breaking, such as this one, we don't get press releases from law firms and at best get off-the-record confirmations that firms have acted.

As such we can't confirm all the lawyers who worked on a deal necessarily...

When the press releases come we'll update the story.

Great reporting same day as breaking news of the deal in pink papers.
Can't understand why these firms don't credit associates, maybe there are too many coming and going.

Kian, may be you should ask the firms to also provide names of associates when you receive a release. If they dont want to provide/confirm- just say that the firm declined to provide/confirm names of associates.

I have heard that TTA-Dhall team also had an associate (a star i hear) from TTA's Mumbai Office assisting in the deal. Any news on who that is ?

I hear TTA team was Dhall, Ram and Avinash from Delhi, and Neville from Bombay. They all rock.

No issue with replacing AZB and SAM. Happens often. Enough.
