Mumbai: Eternis Fine Chemicals has acquired UK-based specialty chemicals firm Tennants Fine Chemicals for an undisclosed sum, as the Rajen Mariwala-owned company seeks to expand its range of aroma chemicals and leverage multi-location manufacturing and distribution platforms through the buyout.

DSK Legal advised Eternis Fine Chemicals Limited, as well as Eternis UK Limited and the promoter / Mariwala Family and related trusts. DSK partner Aparajit Bhattacharya, acted as the lead/relationship partner on the transaction, with a transaction team led by partner Aninda Pal, and associate partner Devika Chadha. Also involved were partner Harvinder Singh, who worked on FEMA/ODI corporate compliance and shareholder equity funding related matters; partner Anjan Dasgupta, along with associate partner Avinash Khard and principal associate Roochi Loona, worked on acquisition financing related matters; managing partner Anand Desai, provided strategic inputs on competition and merger control related matters.

Lincoln International acted as exclusive financial advisor to the transaction.

UK law firm Simmons & Simmons acted as UK counsel and Singapore firm Rajah & Tann acted as Singapore lawyers to Eternis Fine Chemicals Limited and associated entities.

Irish firm Tughans, Belfast, acted as legal advisor to Tennants Consolidated Limited and Tennants Fine Chemicals Ltd.

HSA Advocates, from where Bhattacharya had joined in 2019, had previously advised the company on an acquisition in 2018.
