So my boss, the GC, gives me a Debenture Trust Deed and asks me to "See what I can do with the Placeholders to reduce our turn around time". What does this even mean? He gave these instructions while hes on vacation.
What could he possibly mean? What kind of what does he want me to do with the DTD?
So the DTD hes given is the standard template that we use for our transactions. The assignment isnt for any specific transaction. He just wants me to "Reduce the placeholders" in general.
UPDATE: Ive gone and modified the documents so that when updating the details such as the Trustee/Issuer details in one part of the document, it will reflect throughout the document.
Ive done this for all the data that will change between transactions.
What do you mean by "updating the detail in one part of the document will reflect it throughout the document? How did you do it? did you define these terms in the 'definitions' section and now anytime you have update/change the Trustee/Issuer details, all you you have to do is edit the definition?
There are default headings which you cant change like COMPANY, TITLE, FAX.
I just inserted these wherever details change and then change the headings by inserting what i want them to insert. Like DT Name, DT Address, CIN, etc.
Hence changing in one place will reflect wherever youve inserted the document property insertion.
Its a pain setting up. But makes life easier in the long run.
Yeah this looks like a powerful tool, but I want to understand how to use it effectively. I do what one earlier poster has stated - define as many terms as possible in the definition section and then just update the definitions. Of course also use autonumbering and automatic clause referencing.
It will work only on boilerplate agreements like NDAs, commercial contracts me nahi hoga, and if you come to transactional documents, there is no chance on Gods green earth that this can work.
My partner would hang me upside down if i recommend this.
