Moreover, the competitive environment within these firms further exacerbates the work-life imbalance, as lawyers feel compelled to outperform peers to secure promotions or retain their positions. The high stakes of capital markets transactions, where errors can have significant financial and reputational consequences, add to the pressure, leaving little room for flexibility or downtime. Firms often prioritize client demands over employee well-being, resulting in a culture where taking time off is frowned upon or seen as a lack of commitment. The physical and mental toll of such an environment is evident, with many lawyers experiencing health issues, anxiety, and attrition due to the unsustainable workload. Despite occasional lip service to work-life balance initiatives, the reality remains unchanged, as the structural demands of capital markets work in India continue to overshadow any meaningful efforts to improve quality of life for legal professionals in this space.
After a few years, I made the switch out of Capital Markets for a few key reasons - since the practice area is market dependent, the work-life balance is HIGHLY dependent on the market and more "out of your control" than I experience now I've completed a few years in M&A at another Tier 1 firm. The biggest key reason I left was growth and opportunities - the practice area has a huge focus on SEBI ICDR. While I learnt a lot on these regulations and knew them like the back of my hand, my legal knowledge and experience was too niche, too focused with barely any understanding of (nor opportunities to work on and learn) any other important aspects of law. Since switching to M&A, my understanding of contract law, companies act and rules, foreign exchange regulations and others has drastically increased and I feel far more equipped to tackle a variety of queries and legal challenges than before. M&A also offers a lot of exposure in structuring of transactions, something that is entirely missing from Cap Marks. Cap Marks is predominantly disclosure-based, and the approach for everything is "How do I disclose this to SEBI? or How do I handle this so it can be disclosed to SEBI?".
What the above means for opportunities is that while Cap marks is niche and there may always be a demand for trained Cap Marks lawyers, one would be boxing oneself into this field and the job opportunities available later would be restricted to Cap Marks at the various law firms or investment banks who do ECM work. With M&A, a world of opportunities open up, given that the experience and exposure gained is just that diverse.
