Luthra, CAM, DP, Cov on $950m Piramal sale of healthcare analytics biz to US’ Clarivate

Piramal Enterprises Limited will sell Decision Resources Group (DRG) - its healthcare insights & analytics business to the US based Clarivate Analytics plc, for $950 million. PEL DRG Dutch HoldCo BV, a 100% subsidiary of PEL & the holding company for DRG, has signed a definitive agreement for the sale of DRG for $950 Million (includes $900 million on closing and $50 million to be received at the end of 12 months from the date of closing), the group said on Friday.

L&L Partners advised the acquirer, Clarivate Analytics PLC, led by a transaction team comprised of partner Bikash Jhawar, managing associate Avinash Subramanian, associate Sakshi Khare, associate Yamini Upadhyay, and associate Shreshth Bhartia. The team was also assisted by partner Sundeep Dudeja and partner Snigdhaneel Satpathy on certain regulatory aspects of the deal structure.

Cyril Amarchand Mangaldas acted as India lawyers to Piramal Enterprises.

Davis Polk & Wardwell acted as international counsel to Clarivate Analytics.

Covington & Burling acted as international counsel to Piramal Enterprises.
