CAM acts on $595m ABB India NCLT scheme of arrangement demerger

Scheme of arrangement among ABB India Limited, ABB Power Products and Systems India Limited (a wholly owned subsidiary of ABB India) (APPSIL) and their respective shareholders and creditors for the demerger of ABB India’s power grids business to APPSIL. Post sanction of the scheme of arrangement by the NCLT, Bengaluru Bench, the equity shares of APPSIL shall be listed on the stock exchanges. As consideration for the demerger, the shareholders of ABB India shall receive listed equity shares of APPSIL in accordance with the share entitlement ratio determined by independent valuer, according to reports about the internal restructuring.
