Amarchand Mangaldas scored a first-time mandate for Japanese conglomerate NEC Corporation in assisting Davis Polk & Wardwell in its $449m (Rs 2280 crore) acquisition of US telecoms company Convergys Corporation’s information management (IM) business.

Amarchand Mangaldas Delhi partner Akila Agrawal with senior associate Ishita Kapur and associate Parika Ganeriwal acted for NEC in this offshore purchase deal, in which NEC agreed to buy Convergys shares to gain control over its Indian business.

Davis Polk’s corporate team from Tokyo and New York included partners Theodore A Paradise and Michael Davis, and associates Mörk Murdock, Miles E Hawks and Kevin M Satter, said the firm’s press release. New York corporate firm Wachtell Lipton Rosen & Katz also assisted on the deal, according to a headline on Law360 [paywall link].

Agrawal told Legally India that no other Indian law firms advised on the transaction but declined to comment further.

The acquisition will be completed in the first half of this year, according to an Amarchand Mangaldas press release.

The acquired entity will be integrated into NetCracker, which is NEC’s Massachusetts based software vending subsidiary, according to IDG News Service.

NEC, NetCracker and Convergys’ IM will then together provide a comprehensive telecom operations and management solutions suite through a large telecom-software focused business that can be used by service providers regardless of their mode of access to operational support systems, according to Electroiq.
