Hey, I am also an advocate. One of my friend's startups (healthcare - it enabled) has some proposed funding. But please note that the total funding is for ₹3 crore.

But the startup is struggling with issues of cash - even paying employees. So hiring Tier 1, 2, 3, 4 Firms is out of question as they are expensive for such a small work. However this doesn't mean they won't pay any money for lawyer/ca.

Are there any independent lawyers who do basic corporate work? How much do they cost for a small transaction? How to find a lawyer and ca who doesn't eat up all the funds he is getting. Anyone based in bangalore or nearby areas is preferred.
Although there are firms that market their 'startup expertise', their billing rates recently have skyrocketed to touch Tier 2 and even Tier 1 levels (my independent experience, having worked both at Tier 1s and with these firms). Your best bet would be to identify good independent lawyers on LinkedIn, preferably those who seem to have a decent number of years in the VC / PE industry. Set up calls with them and choose the ones who give you the confidence. I know independent lawyers who could do entire transactions from the Company side (documents only) between 0.8 - 2 lakhs, depending on the scope.

Never heard of them. Where are they based? Only found one linkedin profile of Vishnu Nair. Is it single person firm?

single person office is non-existent. it's individual practice. firm is when individual practitioners come together and work as partners. the firm relates to 'partnership'.
Lawyers at Work is a breakaway from JSA Bengaluru. You can come to expect from them - JSA standards, that too with a reasonable fee.
Ask your friend to appoint a CS instead of CA and a lawyer. Your legal, secretarial and taxation can be managed by the same person.
That is really bad advice. If you've actually seen these documents you'd know.
I can recommend Arjun Shiv in New Delhi. He's good, responsive and astute.
You can reach out to Pier Counsel. I have heard they do it for around 1L.
It's definitely not recommended, they fd up my Funds investments. Totally non coordinated and disclose stuff to wrong persons when expressly asked not to.
This firm based out of jaipur (not difficult find, they are the only one in jaipur doing transactions), provides really cheap rates.
Worked with Abja Advisory previously based out of Mumbai. Abishek Ganesan heads the team and cater to startups at a reasonable fee. I'd highly recommend them
If you want to try a seasoned lawyer, with no transactions experience, but great with document and legal interpretation, analysis and drafting skills, you can have it for very effective and commensurate pricing.

b****t firm, they are just two wannabes with a foreign LLM. And yes, there team consists fo just 2 freshers from some dinghy law college, so i wouldn't recommend.
Have worked with them recently. Seems like a very small team centered around Vasundhra. Their work product is good and they have a good turnaround time. For a small practice they seem miles ahead of similarly placed firms. An easy recommendation.
They are basically a break out KCO resource with a few support lawyers. They produce KCO (read tier I) quality work at a fraction of the price.
This seems to be a good repository of firms that do startup oriented work and don't charge "sky is the limit" fees for the same. Any chance to have this thread pinned @kianganz?

Also my guy/girl from the third reply, why are you so salty? Dingy law college, wannabe, cut some slack man. There is enough for everyone to go around. Or maybe you did not get through?
I still don't get you. What is wrong with two people trying to set up an individual practice? Are you just angry because they have foreign LLMs or because they chose not to stick with bigger sweatshops and decided to go solo? Just two days back this dude on LI was talking about setting up their own firm in a decade and everyone rushed to appreciate the person, as they should. What the F are you so salty about? If you don't like a particular institution or do not have the capacity to be engaged with them (also for your dumbass- I meant working with them, not 'for' them), maybe choose not to?

Also, as far as freshers from dingy law colleges go, most freshers from elite colleges are just as bad. That is just how legal education is and they need to be trained anyway for the longest time before they can be delegated with meaningful work. And given how different NLUs fight over their supposed superiority, bruh. Let people breathe maybe? Why hate people when you don't know them? And if you do know either the associates or the said partners, please feel free to enlighten us all rather than make broad assumptions (?).

Also, had you worked on your comprehension skills, you might have noticed that the 'good' was with respect to the names that came up as a reply to the question raised by OP, not just this particular thread about '2 ppl in the firm'.

How much would they charge normally (even if you can give a range) for an early stage transaction?
recently worked with Ikigai Law - Delhi team for our seed and pre Series A rounds. responsive team with good understanding of the vc market. fees slightly on the higher end given the size of the round but we found it to be worth our while. I mention a law firm because earlier we tried our hand at termsheet negotiation with a Ca / lawyer and soon realised that it would be good to have a specialist do this for us.
