Course Structure

Trimester 1: Months 1-3

Advanced Securities Law

This training module consists of 10 Units. You will understand the legal framework that affects Initial public offerings ("IPOs") and the process followed by an issuing company in the run up to an IPO. You will understand issues merchant bankers have to address in an IPO, and the requirements a company has to fulfil once it is listed on the stock exchange. In the Rights Issues unit you will understand how a company undertakes a rights issue to the public needs. Whereas the unit on preferential issues will teach you the concept of preferential allotments or private placements. You will also have clarity in concepts including the trading, clearing, and settlement of listed Shares, securities involving foreign sources and insider trading regulations.

Trimester 2: Months 4-6

Advanced Mergers and Acquisitions Law

This training module consists of 9 Units. You will learn the methods of financing mergers and acquisitions, the role of lending transactions in M&A and how registration laws affect M&A transactions. In this training module you will understand the regulatory regime governing lending by domestic and overseas banks, the applicability of specific provisions of the Industrial Disputes Act, 1947 and to M&A, the nature of transactions that require approval from the Competition Commission of India and how listed Companies approach M&A transactions. This training module will make you confidently monitor the due diligence process and legal documentation in relation to M&A transactions. The manner in which M&A law is affected by company law will be taught to you in relation to the recent 2013 Companies Act.

Advanced Commercial Contracts

This training module consists of 10 units. You will understand the meaning of memorandum of understandings in term sheets, share purchase and share subscription agreements, shareholders agreements, asset acquisition agreements, joint venture agreements and ancillary agreements well enough to confidently draft them. This training module will also give you the ability to understand, analyse and draft important clauses frequently used in corporate agreements including conditions precedent clauses, representations and warranties clauses, indemnification clauses and boilerplate clauses. The manner in which advanced commercial law is affected by company law will be taught to you in relation to the recent 2013 Companies Act.

Trimester 3: Months 7-9

Advanced Banking and Finance Law

This training module consists of 9 units. You will understand the regulatory framework of foreign exchange laws that affect banking operations and lending transactions, the broad structure of the Foreign Exchange Management Act, 1999 and the nuances of regulations introduced by the Reserve Bank of India (“RBI”) relating to inbound and outbound foreign exchange transactions. This training module also includes units that teach you the process a lawyer follows while drafting documents for a typical corporate term loan, the drafting of a loan agreement and the boilerplate clauses involved in a due diligence process, and the role of Non-banking Financial Companies (NBFCs). The manner in which Banking and Finance law is affected by company law will be taught to you in relation to the recent 2013 Companies Act.

Competition Law

This training module consists of 8 units. Here you will learn about the need for competition law in India and the manner in which the Competition Commission of India regulates the market. This will be followed by a detailed study of the different types of agreements that are considered anti-competitive, including both vertical and horizontal agreements. In this training module you will examine the meaning of cartels and the manner in which they are prohibited in India. You will also look at abuse of dominant power and understand the different ways in which an entity can abuse its power. Finally, you will study how competition law treats mergers and acquisitions in India. This training module will give you a working understanding of the manner in which competition law regulates the market both from an Indian as well as a European Union perspective.
