Majmudar & Co and K&L Gates have advised on e-commerce enterprise Rearden Commerce’s world-wide acquisition of Ketera Technologies, which was advised by DLA Piper and Thakker & Thakker that will cease operating at the end of this year.
Majmudar partner A Narayanan along with his team of associates Anup Khanna, Sameer Sah, Rachyeta Shah and Shikha Parakh acted for Rearden while K&L Gates Los Angeles partner Katherine Blair carried out the non-India legal work on behalf of the company.
Ketera is an online spend management solution and business community of nearly 1,000,000 companies based in Bangalore and California. Indian law advice for the target was led by Thakker & Thakker founding partner Bijesh Thakker.
In October Legally India revealed Thakker’s plans to close down the firm by the year-end to carry out philanthropic pursuits. Thakker was unavailable for comment when contacted.
DLA Piper Silicon Valley partner James Koshland represented Ketera on US law aspects of the deal.
Majmudar said that the transaction involved legal advice on the acquisition of target’s India-based operations in Bangalore including legal due diligence, drafting, negotiating and finalising the transactional documents and employment law aspects of the take-over.
The deal closed in November 2010.
