Freshfields, Trilegal lead Godrej takeover of Sara Lee JV

Freshfields Bruckhaus Deringer and Trilegal have advised Godrej Consumer on its buy-out of Sara Lee Corporation's stake in the companies' Indian joint venture (JV) for €185m ($234m).

Freshfields London partner and India head Pratap Amin is understood to have led the team for US consumer goods company Sara Lee.

He was assisted by London corporate senior associate Sheena Singla, Amsterdam corporate associate Alexander Doorman and IP and commercial senior associate Giles Pratt.

Trilegal partner Sridhar Gorthi advised the detergent, cosmetics and household items maker Godrej Consumer on the 51 per cent stake sale in the JV entity Godrej Sara Lee. He was assisted by Mumbai Trilegal corporate counsel Ashwyn Misra and Piusha Bose.

The JV primarily markets insecticides and will retain rights to the JV's Sara Lee portfolio of brands until June 2012.

The deal is expected to close by June 2010 and follows Sara Lee's strategy to focus on its core food and beverage businesses.

Trilegal also represented Godrej on its acquisition of consumer goods company Megasari in Indonesia, which closed on Monday with Gorthi and senior associate Aninda Pal advising.

Allen & Overy partner Chris Moore advised Godrej as international counsel and Latham & Watkins partners Mark Nelson and Tim Gardner advised the target Megasari.
