CAM, JSA on $200m HCL buyout of Geometric

Cyril Amarchand Mangaldas advised HCL Technologies on its $200m (Rs 1,325 crore) share swap deal buying Geometric which was advised by J Sagar Associates (JSA).

CAM Bangalore corporate partner Nivedita Rao, Mumbai corporate partner Smruti Shah, Delhi corporate partner Harsh Kumar and Mumbai competition partner Nisha Kaur Uberoi acted for HCL JSA Mumbai partner Gautam Gandotra acted for Geometric.

HCL will issue over 15 million shares by swapping 10 shares of Rs 2 each with every 43 Geometric shares of Rs 2, reported Economic Times.

This deal is HCL’s largest buyout since its year 2008 $658m purchase of the UK’s Axon Group, according to Mint.
