India Law Alliance partner Anupam Dighe and DSK Legal partners Anand Desai and Raksha Kothari jointly advised Zicom on various aspects of the deal.
P&A partner Nithin Wadha acted for the Indian arm of Schneider Electric, whose global parent is a close client of P&A's best friend firm Jones Day.
Zicom Electronic Security Systems has signed a business transfer agreement with Schneider Electric, which specializes in energy management, in order to divest itself of its security businesses focusing on institutional and government markets.
The transaction involved challenges such as the limited assignment and simultaneous use of the Zicom brand, a procedure for the smooth transfer of key staff from Zicom and compliance and regulatory issues connected to Zicom's status as a listed company.
